Purpose and Status of the Parties
Working draft requiring review and approval by legal counsel before publication and service activation.
These terms govern the professional use of the Lowenore solution by a reseller or partner who provides sales pages, links, or widgets that allow their own customers to purchase digital content.
Lowenore provides a technical and commercial solution enabling the Partner to offer certain products and services, collect the information required for orders, process payments, generate content, and deliver it to End Customers.
The Partner operates as an independent business. The Partner remains responsible for its business activities, communications, website, customer relationships, and the obligations applicable to it as a seller or intermediary dealing with its customers.
The self-billing authorization provided for in the Service Activation Terms is strictly limited to invoices for commissions owed by Lowenore. It does not appoint Lowenore as the Partner's general agent.

2. Account registration and security
The partner provides accurate, complete, and up-to-date information, including their business registration number, identity, address, VAT status, contact details, and information required for payment verification.
The partner protects their login credentials, does not share them, and promptly informs Lowenore of any unauthorized use, loss, compromise, or change to their information. Actions performed through their account may be attributed to them until their report has been processed.
Lowenore may request additional supporting documents, restrict certain features, or temporarily suspend an account when verification is necessary, information is inconsistent, or an activity poses a risk to customers, payments, or the solution's compliance.
3. Free use and no revenue guarantee
Ordinary use of the solution does not involve a subscription fee or a penalty when the partner stops using it. Setup fees, commissions, and the financial consequences of refunds or disputes are governed by their respective provisions.
The solution does not guarantee any number of sales, revenue, commission level, offer availability, or specific commercial outcome.
4. Discontinuing use without penalty
The partner may stop using the solution at any time without termination fees or penalties. They simply need to remove Lowenore links, buttons, widgets, or sales pages from their website, or stop sharing the link to their sales page.
contact formcontact form The partner may also request account closure through the . Stopping use does not cancel commissions already earned or adjustments arising from refunds, cancellations, or disputes related to previous sales.
Lowenore may suspend or close an account for a reason specified in these terms, including fraud risk, a serious breach, prohibited activity, failure to cooperate, or repeated disputes. Reasons will be communicated to the extent permitted by security considerations, applicable law, and confidentiality obligations.
5. Offers, pricing, and changes to the partner plan
Lowenore may change the threshold prices of its offers, the commission activation threshold, and the percentage of the pre-tax price paid as compensation for each sale. These parameters are displayed or communicated to the partner before they take effect.
A change does not apply retroactively to sales validated before its effective date. Commissions already earned remain calculated according to the parameters applicable to the relevant sale.
When a change is material, Lowenore informs the partner through a durable medium within a reasonable period before it takes effect. The partner may stop using the solution without penalty if they do not wish to accept the new parameters.
6. Validated sales and commission calculations
A sale is considered validated when payment has been confirmed, the data required for production is usable, the content has been generated, and the report or its delivery link has been handed over to the sending service for delivery to the address provided by the customer. The customer opening or reading the email is not a condition of validation.
A sale may be excluded from the calculation or adjusted if the address is invalid, delivery fails, or the sale is canceled, refunded, fraudulent, or disputed. A technical delay alone does not justify permanent withholding if the service is ultimately provided, subject to the end customer's rights.
Commissions are calculated according to the plan applicable to the sale, using the basis defined in the partner account or commercial offer, including the pre-tax price actually retained after discounts, refunds, and cancellations. Taxes, payment processing fees, and amounts that do not constitute compensation for the offer are excluded unless otherwise stated.
The applicable monthly threshold and percentage are those displayed or communicated to the partner for the relevant period. Sales are aggregated according to the calculation rules displayed in the partner account. A commission is paid only if the applicable threshold is reached and the necessary checks have been completed.
7. Commission payments
Provided the threshold has been reached, billing information is valid, and no review or dispute justifies withholding payment, transfers for the previous period's commissions are initiated on the 5th of each month.
The arrival date depends on Stripe, the payment account or payment provider used, the banks involved, and standard banking processing times. Lowenore does not guarantee a credit date when a delay is caused by Stripe, a banking institution, or an event beyond its control.
Lowenore endeavors to promptly correct any irregularity attributable to it. This reliance on third-party providers does not deprive the partner of rights that cannot legally be excluded and does not excuse Lowenore's own wrongdoing.
8. End customers, digital content, and refunds
The terms of sale presented to the end customer at the time of ordering must explain the digital content, price, delivery, support, refunds, and, where applicable, the loss of the right of withdrawal. The partner may not replace these rules with a different promise on their own website.
For a consumer customer, the right of withdrawal and its exceptions depend in particular on the nature of the content, the start of performance, the customer's express consent, and confirmation of the loss of that right when the service has been fully performed. A general checkbox alone may not be sufficient to waive this right.
Lowenore handles requests when the content has not been delivered, when delivery is impossible, or when a refund is required by law or the applicable terms of sale. Technical incidents are resolved as quickly as possible, and these terms may not limit remedies available in cases of non-delivery or nonconformity.
These terms do not establish a general commercial money-back satisfaction guarantee. Such a guarantee could only be introduced through a separate offer with simple, clearly visible conditions consistent with the end customer's legal rights.
The partner promptly forwards to Lowenore any customer complaint relating to an order, delivery, or content. The partner does not promise any result, timeframe, or refund that is not included in the information approved by Lowenore.
9. Payment disputes and commission deductions
Stripe pricing page, dispute fees section Stripe FAQ on dispute feesStripe pricing page, dispute fees section Stripe FAQ on dispute fees As Lowenore is the primary seller with Stripe, a dispute may result in the disputed amount and related fees being debited from Lowenore's balance. Fees depend on the country, payment method, and Stripe's current pricing. The partner may consult the and the .
The amount of a refund, cancellation, or dispute, as well as the fees actually incurred by Lowenore, may be deducted from commissions owed to the partner for the relevant sale or from future commissions. If the commission balance is insufficient, the adjustment is carried forward to future commissions, without automatically issuing a separate invoice to the partner under this policy.
The partner cooperates in responding to a dispute when they possess relevant information. The fact that the report was ultimately delivered does not prevent a dispute: the customer may dispute a transaction due to suspected fraud, an unrecognized payment, a card issue, alleged nonconformity, an incorrect amount, or delivery difficulties.
If a dispute is ongoing and a second dispute arises before the first is resolved, Lowenore may temporarily block the partner's new sales and withhold payments associated with their account until the disputes are resolved or assessed.
In cases of repeated or unusual disputes, or disputes inconsistent with the risk thresholds established by Stripe or payment networks, Lowenore may suspend the account indefinitely pending resolution, verification, or a decision to reactivate it. The suspension may remain in place if the risk persists and may result in account closure under these terms.
10. Technical operation and limitations of liability
The solution may be temporarily unavailable due to maintenance, an outage, a security incident, a network problem, a third-party provider, or an external event. Lowenore undertakes to seek a resolution as quickly as possible and to communicate when appropriate.
Free use does not constitute a guarantee of continuous availability and does not, by itself, create a right to compensation for lost sales, lost customers, reputational damage, or indirect losses. This limitation does not apply to rights that cannot be waived, damages that cannot legally be excluded, or intentional misconduct or gross negligence by Lowenore.
A temporary service interruption does not invalidate an order that has already been paid for or the end customer's rights. Where possible, Lowenore attempts to generate or send the content again and reviews refund or correction requests in accordance with the applicable terms of sale.
11. Inactivity
If no validated sale is recorded for more than six consecutive months, Lowenore may ask the partner to confirm that they wish to keep their account, then suspend or close the account if no response or justified use is recorded.
This rule does not automatically apply when the absence of sales results from unavailability attributable to Lowenore, an unresolved technical block, or a suspension imposed by Lowenore. Commissions already earned remain payable after account closure, subject to applicable adjustments.
12. Self-billing of commissions and VAT
Self-billing is an administrative service limited to the commission invoices that the partner must issue to Lowenore. Lowenore prepares these invoices to simplify commission tracking and payment; the partner therefore does not need to prepare each invoice when they have validly granted this authorization.
The partner guarantees the accuracy of their business registration number, VAT status, VAT rate, address, and all information required to prepare invoices. They inform Lowenore of any changes before the next billing cycle.
The authorization applies only to Lowenore commissions. It does not cover the partner's sales to their own customers or any other transaction. If the partner withdraws authorization or their information no longer allows accurate invoicing, payments may be suspended until invoices prepared by the partner are received or the information is corrected.
13. Partner obligations toward customers
The partner presents offers fairly, accurately, and clearly. They do not promise guaranteed results, nonexistent features, continuous availability, or refunds that differ from the applicable rules.
The partner ensures that their website displays the information required for their customers, links to the applicable terms of sale, contact information, and, where necessary, information about personal data processing.
The solution must not be used for unlawful, misleading, discriminatory, defamatory, or public-order-violating activities, or activities likely to infringe the rights of customers, Lowenore, or third parties.
The partner provides their customers with initial information about the circumstances of the purchase and forwards requests concerning the generation, delivery, payment, or technical content of the report to Lowenore.
14. Trademarks, content, and intellectual property
The trademarks, names, software, interfaces, templates, texts, reports, graphic elements, and content provided by Lowenore remain the property of Lowenore or its licensors. No ownership rights are transferred to the partner.
While using the service, Lowenore grants the partner limited, nonexclusive, nontransferable permission to use approved materials solely to present authorized offers. The partner follows the presentation guidelines and stops using these materials when the account is closed.
The partner retains ownership of their name, logo, and original content. They guarantee that they hold the necessary rights to use them and will not ask Lowenore to use them beyond what is necessary to operate the service.
15. Data retained after account closure
After account closure, Lowenore disables access and deletes, anonymizes, or archives data according to its nature, purpose, legal obligations, and evidentiary requirements. Data is not retained indefinitely without justification.
Data required for accounting, invoicing, payments, taxation, contractual evidence, and dispute management may be retained for the period required or permitted by law, including invoices and accounting records for the applicable statutory retention period.
The partner may request the deletion of data that is no longer necessary and does not need to be retained to comply with a legal or regulatory obligation, defend a legal right, or provide evidence of a transaction. The request is processed in accordance with the privacy policy and applicable rules.
16. Account closure and data retrieval
contact formcontact form The partner may request account closure through the . The partner must also remove their links, widgets, and sales pages. Lowenore may request confirmation to prevent accidental account closure.
Before final closure, Lowenore makes exportable account data available when the feature exists and security requirements permit. Data retained as required by law remains archived and is no longer used to provide the ongoing service.
Account closure does not eliminate earned commissions, adjustments relating to previous sales, payment disputes, refund requests, or confidentiality and cooperation obligations that must survive the termination of the relationship.
17. Account suspension
Lowenore may suspend all or part of an account in cases of suspected fraud, payment risk, repeated disputes, inaccurate information, missing supporting documents, prohibited use, security breaches, contractual violations, or the need to protect customers and payment service providers.
Suspension may be temporary or indefinite when the issue cannot be resolved immediately. It remains in effect until the requested information is received, disputes are resolved, the breach is remedied, the risk has ended, or a decision is made to reactivate the account.
During suspension, Lowenore may prevent new sales, temporarily withhold payouts, and disable sales links or pages. Orders already paid for are processed whenever possible and in accordance with the rights of end customers.
contact formcontact form The partner may request an explanation or submit comments through the . Lowenore will review the situation when new relevant information is provided, subject to security and confidentiality obligations and cooperation with Stripe or the competent authorities.
18. Internal complaints
contact formcontact form Any complaint concerning the account, commissions, a payment, a suspension, or content must be submitted through Lowenore's . The partner must describe the facts precisely, provide their business registration number, and attach relevant supporting documents without sharing unnecessary customer data.
Lowenore acknowledges receipt whenever possible and processes the request within a reasonable timeframe, taking into account its complexity, communications with Stripe, and any necessary verification. This procedure does not deprive the partner of their legal rights.
19. Changes to the terms
Lowenore may modify these terms to reflect changes to the solution, offerings, security, payment service providers, or regulations. Material changes are communicated through a durable medium within a reasonable period before they take effect.
A partner who rejects a change may stop using the service without penalty. Sales confirmed before the effective date remain subject to the rules applicable when they were made, unless otherwise required by law.
20. Governing law and end customer rights
These terms are intended for business-to-business relationships and are governed by the applicable law specified by Lowenore in its legal information, subject to any applicable mandatory rules.
End customers are entitled to the rights granted to them under the terms of sale presented to them and the mandatory rules applicable to their circumstances. These partner terms cannot limit those rights.
