1. Who can request service activation?
Service activation is restricted to businesses, professionals, and other individuals acting in a professional capacity. The person completing the form must be authorized to legally bind the business or have its permission.
The partner must provide an accurate business registration number, business contact details, and, when necessary, supporting documents to verify their business activity, identity, and tax information.
2. Service activation fee
La mise en service est facturée une seule fois au montant de [FRAIS MISE EN SERVICE] — final customer price . Ce montant est affiché avant le paiement et ne comprend pas de frais d'abonnement récurrent pour l'utilisation courante de la solution.
The reference price excluding tax is defined as the final customer price less the reference French VAT rate of [TAUX TVA]. This rate serves as the reference for the calculations shown and may change.
Payment is processed through Stripe. The account can only be activated after payment confirmation and verification of the information required to open it.
3. Preliminary verifications
Lowenore may verify the business registration number, the representative's identity, bank details, VAT information, and any documents needed to activate the service. These checks may be carried out before or after payment.
Lowenore may refuse or suspend service activation if the information is incomplete, inconsistent, unverifiable, clearly inaccurate, or if the proposed activity is incompatible with the solution.
If activation is refused because of inaccurate information, failure to provide required supporting documentation, refusal to authorize self-billing of commissions, or refusal to accept operating rules essential to the solution, the setup fees are nonrefundable unless otherwise required by mandatory law. If Lowenore refuses activation for reasons of its own despite the partner having provided the requested information and accepted the applicable terms, the financial consequences will be assessed in accordance with applicable law.
4. Authorization for self-billing of commissions
Self-billing is a service offered to partners: Lowenore prepares the invoices for commissions that the partner must invoice to Lowenore, so the partner does not have to issue each invoice personally.
The authorization granted to Lowenore is limited to invoices for commissions owed to the partner under the partner solution. It does not authorize Lowenore to issue invoices on the partner's behalf for other transactions, customers, or matters.
The partner agrees to provide and maintain accurate information, including their business registration number, VAT status, address, and the details required to issue invoices. Any changes must be reported promptly.
Keeping the VAT rate or VAT status up to date is necessary to ensure that commission invoices are issued correctly. The partner is responsible for the accuracy of the tax information they provide.
If the partner withdraws their self-billing authorization or no longer provides the required information, commission payments may be placed on hold until a compliant invoicing method is established. Withdrawing this authorization does not permit inaccurate invoices to be issued or applicable tax obligations to be circumvented.
5. Invoice correction or reissuance
When an invoice must be corrected or reissued at the partner's request because the partner provided inaccurate, incomplete, or late information, processing fees may apply after the partner has been informed in advance.
6. Cancellation and refunds
Setup fees cover the initial processing of the application, verification checks, and account preparation. They are not an advance on commissions and are nonrefundable in the event of a change of mind, abandonment of the application process, lack of sales, or a subsequent decision to stop using the solution, unless otherwise required by mandatory law.
A refund may be denied, in particular, if activation cannot be completed because of inaccurate information, missing supporting documents, refusal to authorize self-billing limited to commissions, refusal to accept conditions essential to account operation, or a failure by the applicant to meet their obligations.
Nothing in these terms deprives the partner of any right that cannot legally be waived. Each request is assessed based on the specific circumstances and applicable mandatory legal provisions.
7. Acceptance
Before payment, the applicant confirms that they have read and accepted these terms and the general partner terms and conditions. The electronic confirmation, date, version of the terms, and information provided during the application may be retained as evidence of acceptance.
End customers' rights, particularly regarding information, refunds, withdrawal rights where applicable, and conformity of digital content, are governed by the terms of sale presented to them at the time of purchase. The partner may not restrict these rights through conflicting promises or conditions.
